These Terms & Conditions ("Terms") govern your access to and use of Kodi (the "Service"), provided by HodiKodi ("HodiKodi", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Kodi is a tax-management tool for Tanzanian SMEs offering a TRA tax calendar, a guide library, and an AI assistant grounded in Tanzanian tax law. The Service provides general information and workflow tools; it is not legal, tax, or financial advice, and does not replace a licensed tax advisor.

2. Eligibility & accounts

You must be of legal age in your jurisdiction to use the Service. You are responsible for the accuracy of the information you provide and for keeping your credentials confidential. You are responsible for all activity under your account.

3. Acceptable use

You agree not to misuse the Service. In particular, you must not: use the Service unlawfully; commit fraud; send spam; infringe intellectual property; upload malware; probe, scan, or otherwise interfere with the Service's security; or scrape the Service.

4. Payments & subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

Subscription plans renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account or via paddle.net. One-off services (such as Filing Assist and Tax Consultation) are charged as single transactions.

5. Intellectual property

HodiKodi retains all right, title, and interest in the Service, including its software, content, branding, and documentation. You receive a limited, non-exclusive, non-transferable right to use the Service within your chosen plan. You must not reverse-engineer, resell, or circumvent technical limits of the Service.

6. Your content

You retain ownership of content you submit to the Service. You grant HodiKodi a limited license to host and process that content solely to provide the Service to you.

7. AI outputs

The AI assistant can produce inaccurate or incomplete results. You are responsible for reviewing outputs before relying on them, especially for tax filings or regulatory decisions. Do not treat AI outputs as professional advice.

8. Service level & warranties

We work to keep the Service available and accurate, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, HodiKodi disclaims all implied warranties, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the fullest extent permitted by law, HodiKodi's aggregate liability arising out of or related to the Service is limited to the fees you paid for the Service in the 12 months preceding the claim. HodiKodi is not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where required by law.

10. Indemnity

You agree to indemnify HodiKodi against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

11. Suspension & termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated policy violations. On termination, your right to use the Service ends; we will make your data available for a reasonable export window before deletion.

12. Governing law

These Terms are governed by the laws of the United Republic of Tanzania. Disputes will be resolved in the courts of Tanzania, without prejudice to any mandatory consumer rights you may have.

13. Changes

We may update these Terms. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
